Disclosure Requirements for Shareholders

The German Securities Trading Act (Wertpapierhandelsgesetz) requires each person whose shareholding reaches, exceeds or, after exceeding, falls below the 3%, 5%, 10%, 15%, 20%, 25%, 30%, 50% or 75% voting rights thresholds of a listed corporation to notify such corporation and the German Federal Supervisory Authority for Financial Services (Bundesanstalt für Finanzdienstleistungsaufsicht - "BaFin") immediately, but no later than four trading days after they have reached, exceeded or fallen below such a threshold. For the purpose of determining the relevant shareholding, voting rights which are deemed to be held by way of attribution according to the rules of the German Securities Trading Act have to be taken into consideration. The violation of the disclosure requirement has serious consequences: Such holders cannot exercise any rights from those shares until they have satisfied this disclosure requirement. Besides, a fine of up to 200,000 euros can be imposed on the relevant shareholder.
